Corporate Bundling, Distribution and Support License

Copilot4Eclipse Corporate Bundling, Distribution, and Support License​

1. License Grant
Genuitec grants the Licensee a one-year, non-exclusive, non-transferable, annual license to: Bundle and Distribute Copilot4Eclipse within the Licensee and Affiliates. Affiliates include: Operating divisions and DBAs of the Licensee. Licensee staff working inside other companies for Licensee's projects. This does not include team members employed by those other companies. Such companies require their own corporate license.

2. Support and Maintenance
The Licensee is entitled to:

  • Annual Quality and Optimization Review: Detailed review of the software's performance and optimization.
  • Priority Support System: Access to a priority support system with fast response times.
  • Preview Builds and Roadmaps: Early access to upcoming product and bug fix releases, including roadmaps.
  • Collaborative Sessions: Up to twelve web-based collaborative sessions to address specific technical needs.
  • Priority Security Releases: Accelerated access to critical security updates.
  • Bug Reports and Enhancement Requests: Ability to submit bugs and enhancement requests.
  • Priority Fixes and Patches: Accelerated access to important fixes and patches.

3. Restrictions
This license does not apply to any Eclipse-based IDEs or tools. Vendors of such products must obtain a separate product distribution license from Genuitec.

4. Relationship to Existing Copilot4Eclipse End User License Agreement (EULA)
This Addendum modifies and supplements the EULA. In the event of any conflict between this Addendum and the EULA, the terms of this Addendum shall prevail. All terms and conditions of the EULA not expressly modified by this Addendum remain in full force and effect.

5. Non-Severability
If any provision of this license is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

6. Terms and Termination
This license is effective for one calendar year from the date of signing and is renewable annually under the pricing model shown in Appendix A. Genuitec reserves the right to terminate this license immediately if the Licensee breaches any terms.

7. Amendments
Any amendments or modifications to this license must be made in writing and signed by both parties.

8. Waiver
The failure of either party to enforce any provision of this license shall not be deemed a waiver of the right to enforce that or any other provision in the future.

9. Assignment
The Licensee may not assign or transfer any of its rights or obligations under this license without the prior written consent of Genuitec.
